Terms & Conditions of Sale

These General Terms and Conditions of Sale (hereinafter referred to as the “Terms”) apply to all sales contracts between Yiju Hardware Products Co., Ltd. (hereinafter referred to as “NovFeel”) and the purchaser (hereinafter referred to as the “Buyer”), unless otherwise agreed in writing by NovFeel. These Terms supersede any conflicting terms in Buyer’s purchase documents.

1. Applicability

These Terms govern all quotations, orders, confirmations, and deliveries between NovFeel and the Buyer. Any amendments must be expressly agreed in writing by NovFeel.

2. Quotations & Pricing

All quotations are valid for 30 days from issuance unless otherwise stated.
Prices are quoted in USD unless otherwise agreed.
Unless otherwise stated, all quotations follow INCOTERMS 2010.
NovFeel offers pricing under FOB, CNF, or CIF terms. If not specified, FOB (China port) applies by default.
FOB: Includes ex-factory price, export inspection, customs clearance, and local port charges. NovFeel bears risk until goods pass the ship’s rail at the port of departure.
CNF: FOB price plus ocean freight.
CIF: CNF price plus insurance.
In CNF or CIF, NovFeel arranges freight/insurance, but risk transfers to Buyer once goods are loaded at the port of shipment.

3. Payment Terms

Standard payment: 100% T/T in advance, unless otherwise agreed in writing.
NovFeel does not accept credit card or check payments unless specifically approved.
Late payment incurs 0.1% daily interest on overdue amounts. Buyer also bears all debt recovery costs.
Payments received will first be applied to outstanding interest and fees, then to the oldest unpaid invoice.

4. Delivery & Lead Time

Delivery dates are confirmed in NovFeel’s Order Confirmation.
Delays caused by Buyer (e.g., late approval of artwork, packaging, or specifications) may postpone delivery without liability to NovFeel.
Delivery delays do not entitle Buyer to cancel orders or withhold payment.

5. Delivery Terms

Deliveries are made according to INCOTERMS 2010.
Unless otherwise agreed, goods are shipped from NovFeel’s facilities in China, using NovFeel’s standard packaging.
Special packaging, labeling, or shipping instructions must be confirmed in writing and may incur additional charges.

6. Transfer of Title & Risk

Risk passes to Buyer according to the agreed INCOTERMS.
Title transfers to Buyer only upon full payment of the invoice. Until then, goods remain NovFeel’s property and may not be resold without NovFeel’s consent.

7. Returns & Cancellations

No goods may be returned without prior written approval from NovFeel.
Standard stock items may be returned within 3 months of shipment, subject to inspection and a 30–70% restocking fee. Buyer bears all return freight and costs.
Customized or modified goods cannot be returned or cancelled.
Order cancellations require NovFeel’s written consent and may incur cancellation fees depending on production status.

8. Molds & Tooling

For customized products requiring molds, NovFeel may charge a mold fee.
If total order quantity reaches 100,000 units, mold cost may be deducted from final payment. Otherwise, mold fees are non-refundable.
All molds remain NovFeel’s property unless otherwise agreed in writing.
Confidentiality agreements will be signed if Buyer provides proprietary drawings or designs.

9. Inspection & Warranty

Buyer must inspect goods immediately upon receipt. Any claim must be submitted in writing within 8 days of delivery.
NovFeel warrants goods will conform to specifications confirmed in the Order Confirmation for 12 months from delivery, provided they are properly used and maintained.
Warranty excludes:
Misuse, improper storage, or modification of products.
Normal wear and tear.
Indirect or consequential damages (e.g., loss of profit, goodwill).
NovFeel’s maximum liability is limited to the invoice value of the order.

10. Force Majeure

NovFeel shall not be liable for delays, shortages, or failure to perform due to events beyond its control, including but not limited to natural disasters, strikes, war, terrorism, pandemics, or transportation disruptions. NovFeel will notify Buyer promptly of such circumstances.

11. Governing Law & Dispute Resolution

These Terms and related contracts are governed by the laws of the People’s Republic of China.
Parties shall first attempt to resolve disputes amicably.
If unresolved, disputes shall be submitted to the People’s Court in Jinhua, Zhejiang, China. The CISG (Vienna Sales Convention) does not apply.

12. Miscellaneous

If any provision of these Terms is held invalid, the remaining provisions remain enforceable.
NovFeel reserves the right to amend these Terms at any time, with notice to the Buyer.
